Terms and Conditions

I/WE ACKOWLEDGE that Action Negotiators are the authorized selling agents of the Vendor/s AND on a sale of the Business listed above or subsequently referred by you to me/us that you will be entitled to receive a commission and fees from the Vendor AND I/WE AGREE:-

1. That the Vendor/s has signed an Agency Agreement for the sale of the Business with the Agency; and
2. Not to negotiate direct with the Vendor/s or through third parties without your consent; and
3. Not to Induce the Vendor/s to breach their Agency Agreement with you; and
4. Confirm that the information provided on behalf of the Vendor/s is disclosed to me/us is commercially sensitive and given to me/us In the strictest confidence; and
5. That the Vendor/s Information can only be disclosed by me/us to my/our legal and financial advisers and only then for the purpose of accessing and determining whether to proceed to purchase the Business.

I/WE ACKNOWLEDGE that your representative has advised me/us that you are acting as the Vendor’s agent and that:-

1. All information supplied by you to us about the Business is provided on behalf of the Vendor/s; and
2. You do not verify the accuracy of the Vendor/s Information; and
3. I/we have been advised to check independently for accuracy any information about the Business given to me by or on behalf of the Vendor/s; and
4. I/we have been advised to satisfy myself as to the Vendor/’s business records, turnover, expenses, lease, business licenses and municipal approvals to operate the Business; and
5. I/We acknowledge that I have received no warranty from you as the future trading figures of the Business and in estimating future turnover have relied upon my own independent inquiries and research.
6. That if l/we induce the Vendor/s to breach or avoid their Agency Agreement with you that I/we may become liable to you for any damage you may sustain including your full commission and incidental expenses in listing, advertising and promoting the Business and all your legal costs plus interest; and
7. That if I disclose the Vendor/s information to unauthorized third parties and the Vendor/s suffer damage as a result of my actions that I may be liable to the Vendor/s and yourselves for damages.
